The British Virgin Islands Financial Services Commission (FSC) announced a 6-month extension for companies incorporated prior to 1 January 2025, to file their Register of Members and Register of Beneficial Owners with the BVI Registry. The deadline has been extended from 30 June 2025 to 31 December 2025.
Whilst this extension provides additional time for compliance, we strongly recommend submitting filings well in advance of the deadline to avoid last-minute congestion in December. Companies should also remain mindful of other BVI regulatory deadlines that may coincide, depending on their financial period or financial year-end date.
For companies who have already reported and filed their shareholder and beneficial ownership information, it is important to note that any updates must be filed within 30 days from when a change is made. Registry disbursements will apply to subsequent filings.
